ASIAN ART BRIDGE

TERMS AND CONDITIONS OF SALE

Effective Date: 28/07/2026

1. PURPOSE

These Terms and Conditions of Sale ("Terms of Sale") govern all purchases, negotiated transactions and private sales conducted through Asian Art Bridge ("Asian Art Bridge", "AAB", "we", "our", or "the Platform").

They apply to all sales of artworks made through:

  • Buy Now;
  • Make an Offer;
  • Private Sale Sessions;
  • Price Upon Request;
  • any other sale mechanism operated by the Platform.

These Terms should be read together with the Platform's Terms of Service and Privacy Policy.

2. THE PLATFORM

Asian Art Bridge is a museum-grade curated art platform dedicated to modern and contemporary Asian art.

The Platform combines:

  • museum-level curation;
  • online sales;
  • private sales;
  • electronic brokerage;
  • art advisory services;
  • business introductions within the international art market.

Each Artwork published on the Platform has undergone a curatorial review according to the Platform's standards.

Publication of an Artwork does not constitute an investment recommendation or guarantee of future market value.

3. OUR ROLE

Depending upon each transaction, Asian Art Bridge may act:

  • as intermediary between Buyer and Seller;
  • as representative of a Seller;
  • as organizer of a Private Sale Session;
  • as provider of electronic brokerage services;
  • or, where expressly stated, as the Seller.

Unless expressly indicated otherwise, Asian Art Bridge is not the legal owner of the Artwork being sold.

4. ELIGIBILITY

Purchasers must:

  • be at least eighteen (18) years old;
  • have legal capacity to enter into contracts;
  • provide accurate billing and shipping information;
  • comply with applicable laws.

The Platform reserves the right to refuse any transaction.

5. ARTWORK INFORMATION

Descriptions are prepared in good faith.

Information may include:

  • artist biography;
  • title;
  • dimensions;
  • medium;
  • edition information;
  • provenance;
  • exhibition history;
  • bibliography;
  • condition;
  • certificate of authenticity;
  • framing information.

Although every reasonable effort is made to ensure accuracy, descriptions are provided for informational purposes.

Minor variations in color, scale or appearance may occur due to photography or display settings.

6. PROVENANCE & AUTHENTICITY

Asian Art Bridge places particular importance on provenance and authenticity.

Where applicable, the Platform reviews available documentation including:

  • certificates of authenticity;
  • provenance documentation;
  • exhibition records;
  • literature references;
  • expert opinions.

Art historical research evolves over time.

Opinions regarding attribution or authenticity may change as new information becomes available.

Unless expressly stated in writing, Asian Art Bridge does not provide a perpetual legal guarantee of authenticity.

7. CONDITION OF ARTWORKS

Original artworks naturally show characteristics resulting from age, artistic process or conservation.

Condition Reports are provided in good faith and represent professional opinions at the time of examination.

Buyers are encouraged to request additional photographs or information before purchasing.

8. BUY NOW PURCHASES

Certain Artworks may be purchased immediately using the Buy Now option.

Submitting payment constitutes an offer to purchase.

The sale becomes legally binding only after:

  • payment has been successfully processed;
  • artwork availability has been confirmed;
  • the Seller has accepted the transaction where applicable;
  • Asian Art Bridge has confirmed the order.

If an Artwork has already been sold or becomes unavailable, the Buyer shall receive a full refund of any amount paid.

9. MAKE AN OFFER

Certain Artworks may be available through negotiation.

Submitting an Offer does not create a legally binding contract.

The Seller may:

  • accept the Offer;
  • reject the Offer;
  • submit a counter-offer;
  • allow the Offer to expire.

Only written acceptance communicated through the Platform creates a binding sale.

Accepted Offers become legally binding for both Buyer and Seller.

10. PRIVATE SALE SESSIONS

Private Sale Sessions are confidential negotiations facilitated by Asian Art Bridge.

The Platform may assist with:

  • price negotiations;
  • documentation review;
  • provenance verification;
  • expert consultation;
  • transaction coordination.

Negotiated prices remain confidential unless disclosure is required by law.

Asian Art Bridge reserves the right to suspend or terminate negotiations at any time.

11. PRICES

Prices displayed on the Platform may include:

  • Fixed Price;
  • Price Upon Request;
  • Negotiated Price;
  • Private Sale Price.

Unless otherwise stated, prices exclude:

  • taxes;
  • customs duties;
  • shipping costs;
  • insurance;
  • import charges.

Prices remain subject to confirmation before completion of the transaction.

12. PAYMENT

Payment methods available on the Platform are displayed during checkout.

Payment must be completed within the period specified by Asian Art Bridge.

Failure to complete payment may result in cancellation of the transaction.

Ownership of the Artwork transfers only after full payment has been received.

13. SHIPPING

Shipping arrangements depend upon:

  • the Seller;
  • the destination country;
  • the nature of the Artwork.

Asian Art Bridge may coordinate logistics with professional fine art shipping companies.

Shipping fees, insurance, customs duties and import taxes remain the responsibility of the Buyer unless otherwise agreed.

Estimated delivery dates are indicative only.

14. EXPORT & IMPORT

Certain Artworks may require:

  • export licences;
  • cultural heritage permits;
  • customs documentation;
  • import authorizations.

The Buyer acknowledges that international shipments may be delayed by governmental procedures.

Asian Art Bridge shall not be liable for delays caused by customs or governmental authorities.

15. TRANSFER OF TITLE AND RISK

Ownership of an Artwork transfers only after:

  • full payment;
  • completion of any required legal formalities.

Risk transfers according to the shipping terms agreed between the parties.

16. CANCELLATIONS

Before order confirmation, the Platform may cancel a transaction due to:

  • prior sale;
  • pricing error;
  • authenticity concerns;
  • export restrictions;
  • force majeure;
  • suspected fraud.

The Buyer shall receive reimbursement of amounts paid where applicable.

17. RETURNS

Because original works of art are unique objects, all sales are generally final.

Returns shall only be accepted:

  • where required by applicable law;
  • where expressly agreed in writing;
  • where an authenticity claim has been accepted by Asian Art Bridge.

Return requests must be submitted promptly after receipt of the Artwork.

18. SELLER WARRANTIES

Each Seller represents that:

  • they own the Artwork or are authorized to sell it;
  • they have the legal right to transfer ownership;
  • provenance information is accurate to the best of their knowledge;
  • known restoration or conservation has been disclosed;
  • no intellectual property rights are infringed.

19. BUYER RESPONSIBILITIES

The Buyer agrees to:

  • review all available information before purchasing;
  • request additional information when necessary;
  • complete payment on time;
  • comply with import regulations applicable in their country.

Failure to comply may result in cancellation of the transaction.

20. FORCE MAJEURE

Asian Art Bridge shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including natural disasters, war, governmental action, transportation disruptions, cyberattacks or other force majeure events.

21. LIMITATION OF LIABILITY

Asian Art Bridge acts in good faith in facilitating transactions and reviewing Artworks.

Except where prohibited by law, the Platform's liability shall be limited to the amount paid for the relevant transaction.

Asian Art Bridge shall not be liable for:

  • future market fluctuations;
  • changes in scholarly opinion;
  • investment performance;
  • indirect or consequential damages.

22. DISPUTES

In the event of a dispute, the Parties agree to seek an amicable resolution before commencing legal proceedings.

23. GOVERNING LAW

These Terms of Sale are governed by the laws of France.

Any dispute arising from these Terms shall be submitted to the competent courts of Paris, France, unless mandatory consumer protection laws provide otherwise.
